Purchase Orders

Delivery date represents the date product is requested to be in store.
Cancel Date is 30 days after delivery date unless given extension by Sports Basement.
We allow two shipments per PO unless otherwise directed by a Sports Basement representative. Fill-rate for the first shipment must exceed 80%.
Please review all PO costs & terms (including dating & discounts) for discrepancies. If any discrepancies exist, contact our buying team for a corrected PO. Product should not ship until the amended PO has been received.
If any discrepancies between PO(s) and invoice(s) exist, Sports Basement will take the most favorable terms to Sports Basement.
Sports Basement reserves the right to take an additional 40% discount off the lowest invoiced price for any products that ship on canceled/revised purchase orders and are within the vendors own guidelines.
Sports Basement reserves the right to take an additional discount off the lowest invoiced price for any shipments that fall outside of our shipping window without prior written consent from Sports Basement representative-

20% additional discount if product ships earlier than 15 days prior to ship date
30% additional discount if product ships 30-60 days after ship date
50% additional discount if product ships 60+ days after ship date

Accounts Payable

All invoices must be emailed to sbaccounting@sportsbasement.com at the time of shipment. Terms do not start until the latter of the invoice date or email date. Hard copies sent via USPS will not be accepted.
Monthly emailed account statements are required.
Invoices must include the Sports Basement PO number starting with 45-, payment terms, and quantities by style/size/color.

California's Proposition 65

Vendors should be aware that merchandise will be subject to California’s Proposition 65 requirements. Sports Basement expects all vendors, regardless of size or location, to comply with Proposition 65. If a vendor’s merchandise requires a Proposition 65 warning, the vendor must deliver such merchandise to Sports Basement with the necessary label or warning affixed to the product or consumer packaging. Sports Basement will not assume responsibility for labeling merchandise or displaying in-store signage on behalf of a vendor. Sports Basement will allow for vendors to request that a Proposition 65 warning be displayed on the product display pages of impacted products on digital channels such as Sportsbasement.com. Vendors are still expected to label impacted products and/or consumer packaging as required under Proposition 65. Requesting Sports Basement to display a warning on a product display page will not shift responsibility from the vendor to Sports Basement.

California PFAS Legislation

California has enacted a legislation that has and will phase out the sale, manufacture, or distribution of many textile articles containing per- and polyfluoroalkyl substances (PFAS) in the state. The bill will phase in the following changes that pertain to the products Sports Basement buys from it’s vendors:

Jan 1 2023: No PFAS in nutrition packaging or juvenile products and certain labeling for cookware.

Jan 1 2024: Additional requirements for cookware

Jan 1 2025: Restrictions on textiles

Sports Basement requires that all vendors comply with CA laws pertaining to this legislation and timeline for current, future and at-once purchases. Any products that are not compliant will be returned the vendor for a full refund at the vendor’s expense.

Indemnification

Vendor agrees to defend, indemnify, and hold harmless Sports Basement (“Buyer”), its affiliates, and its respective officers, directors, members, shareholders, employees, agents, representatives, assigns and successors (collectively the “Buyer Indemnitees”) from, and upon demand reimburse the Buyer Indemnitees, for any and all damages, losses and/or expenses (including Buyer Indemnitees’ attorneys’ fees and their other costs of defense) incurred in connection with any and all suits, claims, demands, liabilities and Recalls whatsoever: (1) arising out of or alleged to have arisen from a breach of any of the representations, warranties or obligations of Vendor under this Agreement (including any related act or omission by Vendor), (2) for death, illness, personal injury or property damage, both in law and equity, arising out of or resulting in any way from any actual or alleged defect in any Products; (3) for any act or omission, negligence or willful misconduct of the Vendor, its agents, employees, or subcontractors relating to Buyer’s purchase or sale of any of the Products; (4) for any actual or alleged breach of Vendor’s written warranty for the Products; (5) for any actual or alleged infringement of any patent, trademark, copyright, trade secret, trade dress or other intellectual property or publicity right of a third party in connection with the Products; (6) for the Products actually or allegedly violating any Laws; or (7) pertaining to or in connection with the content of Vendor’s packaging, labeling, or advertising of the Products. In the event of a claim, lawsuit, demand or other matter covered by this Agreement, Buyer shall notify Vendor in writing and provide Vendor the opportunity to assume full responsibility for the defense and resolution of such claim, lawsuit, demand or matter; provided however, that (a) Vendor, its agents, representatives, attorneys or insurers shall not bind the Buyer Indemnitees in settlement without the Buyer Indemnitees’ prior written consent, and (b) the Buyer Indemnitees shall be permitted to participate in their own defense and to retain their own counsel, at Vendor’s expense. If Vendor fails to take timely action to defend any such claim, suit, or demand, or at Buyer’s sole discretion, Buyer or the Buyer Indemnitees can defend such claim, suit, or demand at Vendor’s expense. This Section shall survive the expiration or earlier termination of this Agreement.

Routing Instructions

A Packing List MUST accompany each order or be provided to Sports Basement prior to order arrival.
Each carton is required to have the Sports Basement PO number listed. If shipped with Sports Basement’s UPS account, PO number must be in the ‘Shipment Reference 1’ field.

Do not consolidate multiple POs into the same carton.

Small Package / UPS Parcel Shipments
<500 lbs

Use UPS account 8FR137 with zip code 94129 and ship Ground Collect unless otherwise directed by Sports Basement.
All cartons shipped under the same PO number on the same day must be processed as a multi-carton shipment and share a common lead shipment number.
Small Package size limits:
Cartons must weigh less than 50 lbs.
Package length + girth must be less than 130 inches.
Longest side less than 48 inches.
The only exception to oversize dimensions noted above are special orders

LTL / Truckload Shipments
500+ lbs or requested by Sports Basement representative

Multiple POs with the same destination address should be consolidated.

Vendor will be responsible for freight costs if the product is shipped outside of the above guidelines. Any shipping/freight costs on vendor invoices will be deducted at time of payment.

Vendor will be responsible for both outbound and return transportation costs if canceled/extra product is shipped in error.

Vendor is responsible for all import duties/tariffs.

Vendor is responsible for detention loading and freight reweigh/reclassification fees.

Any exceptions to the above requirements must be given in writing by a Sports Basement representative.
